By placing an order with us; "The Purchaser" accepts and agrees to be bound by the following terms and conditions of sale.
Invoicing and Payment
1. All items remain the property of the vendor until such time as
all money due for the purchase of said items is received and
cleared.
(a) Where a deposit has been paid by the Purchaser, the Vendor will
acknowledge receipt of the deposit and inform the purchaser of the
"completion" date, the Purchaser must then ensure that their final
payment is made in a timely manner so that the outstanding balance
is paid, cleared and available in the Vendors account no later than
the completion date as advised.
(b) Title of goods passes to the purchaser once the full balance has
been paid.
(c) All payments are due within 30 days from the date shown on the
invoice, all price's quoted are in GB Pounds, all transactions are
to be made in GB Pounds, all items must be paid in full prior to
dispatch. The purchaser is responsible for paying all International
Bank Transfer Charges.
(d) In the event of cancellation, bankruptcy or default by “The
Purchaser” in any manner, all deposits made for the procurement of
goods are non refundable.
Shipping
2. Shipping will be according to Incoterms®
2010 FCA, by a licensed international courier, or if
agreed in writing will be delivered in person, shipping charges may
be amended at any time to accommodate fluctuations in courier
charges.
(a) All risk of loss will be passed to 'The Purchaser' when we
deliver the order, or any portion thereof, to the carrier or
purchaser direct.
(b) All costs and expenses relating to insurance, carriage in all
respects, customs expenses, duties, taxes, etc. shall be the sole
responsibility of the purchaser.
(c) Shipments will be insured by and at the purchaser’s expense, we assume
no responsibility for placing of any valuation upon the shipment.
(d) Delivery dates are an indication of intention to comply, but are
not guaranteed and are not of the essence of any binding contract.
Deliveries by road, rail, sea or air will be charged for at extra
cost to the purchaser. Risk in goods passes to the purchaser on
delivery to the transportation agent or courier: Thereafter the
Purchaser shall take all reasonable insurance for the items and
their use.
(e) Export/Import: Any and all contracts are subject to our
obtaining any necessary export permissions as required by H.M.
Government, the Purchaser is bound to obtain all necessary import
permissions, failing which the Purchaser is in breach of contract.
Pricing excludes shipping and handling, bank conversion charges,
import duties or taxes, landing, warehousing etc, unless otherwise
agreed and stated in writing.
General conditions of sale
3. We are constantly seeking ways to improve the specification,
design and production of our products and alterations take place
continually, while every effort is made to produce up-to date
literature and website content, the information published on this
website or made available in any other manner should not be regarded
as an infallible guide to current specifications, nor do they
constitute an offer for sale of any particular item of equipment.
4. Complaints; In lieu of all and any warranties, conditions or
liability implied by law our liability in respect of any defect in
goods or for any loss, injury or damage attributable thereto shall
be limited to, at our option, (a) the supply of new goods in
exchange for defective goods, or (b) repair at the manufacturers
premises of defective goods, or (c) payment of value of defective
goods; Save as foresaid and without prejudice thereto we shall not
be liable for consequential or other damage howsoever arising.
5. We shall not be liable for any claim unless;
(a) It is detailed in writing within the appropriate guarantee
period for the item starting from the date of receipt by the first
owner. (b)All guarantees are issued to the first owner, they are
transferable to a new owner upto and including the last day of the
guarantee period as defined in (a) above.
(c) To accept return of goods until we have examined them, delivery
to be at the Purchasers expense, further, we shall not be liable if
on inspection; we find that the equipment has not been used
according to the owner’s manual delivered with the equipment. Our
decision on this matter is final and may not be challenged.
6. It is understood that our goods have a limited life, the length
of which is determined according to the amount of use, the manner of
use and the environment in which it is used: consequently, our goods
when used extensively will not last as long as when used
occasionally, the Purchaser accepts that they have no claim by
reason of goods deteriorating through use in whatever manner or
environment of employment. We guarantee that the tuffet will last
for a minimum of five years providing that all instructions
contained within the "Owners Manual" are fully complied with at all
times.
7. In respect that our tuffet may include artistic designs, graphics
or text (art work), our obligation is to provide a tuffet to the
purchasers order and is limited to supplying a tuffet with art work,
which in our opinion, is reasonably in compliance with any
specification forming part thereof. We reserve the right to change
colours, artwork, graphics or text to fit our tuffet without prior
notice.
8. Any tuffet returned to the company for work under guarantee or
work undertaken at the Purchasers request and at their cost shall be
returned properly rolled and in a clean dry condition so that work
may commence immediately. Should the company judge that the tuffet
is not in a fit condition for work to commence immediately, the
Purchaser will bear all costs incurred to make the tuffet into a fit
condition for work to commence.
9. All concepts, drawings, patterns and designs remain as our
intellectual property and must not be reproduced in any manner
whatsoever without our permission in writing.
10. Trademarks™: We reserve the right to display our trademark on
all our products; action will be taken against anyone removing,
defacing or altering such trademark. The terms Tuffet, Automatic
Measuring Device (AMD) and WindCheck are registered as trademarks™
by their inclusion on this website.
11. AMD Service warranty; We will inspect and test each AMD display
unit, software updates will be installed as required and you will be
informed of any additional works we consider necessary. This
warranty does not cover damage or failure caused by or attributable
to Acts of God, abuse, misuse, improper or abnormal usage, improper
maintenance or any repairs other than those provided by our
Authorised Service Facility, or transportation costs.
12. Law: All contracts are produced in English; the official
language of the United Kingdom of Great Britain and will be agreed
and signed in the “English” language in accordance with English Law.
This or any other (all) agreements shall be made and take effect as
a contract made in England and in accordance with the laws of
England and the purchaser hereby submits to the jurisdiction of the
High Court of Justice in England.
13. Dealers & Distributors: Are not agents of Texair, and have
absolutely no authority to bind Precision Accuracy Equipment Limited
by any expressed or implied undertaking or representation.
14. License
14.1 Texair - Precision Accuracy Equipment Ltd grants you a license
to access the content, information and services contained within our
website for personal use only.
14.2 This license allows you to download and cache (using your
browser) individual pages from our website.
14.3 This license does not allow you to download and modify
individual pages or substantial parts of our website nor to make our
website available via an intranet, where our website or a
substantial part of it is hosted locally on the intranet in
question.
14.4 Our website design, layout, content or text cannot be copied,
edited or otherwise manipulated without our express prior written
permission.
14.5 Our website cannot be placed within the frame-set of another
site.
14.6 Third parties are not allowed to deep link to pages within our
website, without our express prior written permission. All links
(unless expressly permitted by us) should be to the main index page
of our website. Furthermore, the content of such links, whether
graphic or text should not be misleading, false, derogatory or in
any other way offensive.
14.7 The restriction on deep linking does not apply to affiliate
partners who wish to send customers directly to a particular page or
product in order to increase their affiliate sales.
